The BRN is your tax identification number. It is the first 8 digits of your Business Registration Certificate (BRC) number (e.g., 12345678-XXX-XX-XX-X). You will need this number for:

  • Registering for MPF (Mandatory Provident Fund) for employees.

The CRN is issued by the Hong Kong Companies Registry. It is assigned the moment your company is legally “born.”

  • Changing company directors or shareholders.

Important 2024 Compliance Update: The Transition to Unique Business Identifier (UBI)

Since late 2023, the Hong Kong Companies Registry has implemented the Unique Business Identifier (UBI). This is a major regulatory shift designed to streamline company identification across different government departments.

Previously, the Company Registration Number (CRN) was the primary identifier for the Companies Registry. However, under the new UBI system, the Business Registration Number (BRN)—the first eight digits of your Business Registration Certificate—has now replaced the CRN as the primary identifier on key statutory forms.

For example, when filing your Form NAR1 (Annual Return), you are now required to provide your BRN for company identification. While your CRN still remains a valid historical record on your Certificate of Incorporation, the BRN has now become the “Universal Key” for both the Inland Revenue Department and the Companies Registry. Ensuring you use the correct 8-digit BRN on these forms is essential to avoid filing rejections or compliance delays.

Costs and Renewal Fees for the Business Registration Certificate (BRC)

Unlike the Company Registration Number (CRN), which is issued once and stays with the company forever at no extra cost, the Business Registration Number (BRN) is tied to a certificate that must be renewed. There are two types of business registration certificate, namely 1-year certificate and 3-year certificate.

The CRN Fee is One-Off: You pay a one-time incorporation fee (HK$1,545 for electronic submission / HK$1,720 for hard copies) to get your CRN. You do not pay to “renew” the CRN itself, though you must file an Annual Return (NAR1) with a small filing fee (HK$105).

The BRN Fee is Recurring: Your BRN remains the same, but you must pay the fees above every 1 or 3 years to keep the certificate valid. Operating a business with an expired BRC (even if your CRN is active) can lead to heavy fines and prosecution.

Do I Need Both BRN and CRN?

If you have incorporated a Limited Company, yes—you must have both.

If you are operating as a Sole Proprietor or a Partnership, you will only have a BRN, as you have not created a separate legal entity through the Companies Registry.

1. Is the BRN the same as my Tax ID?
Yes. For all intents and purposes, the 8-digit BRN is your Taxpayer Identification Number (TIN). You will use this number on all Profits Tax Returns and employer’s returns filed with the Inland Revenue Department.

2. If I change my company name, do I get a new CRN or BRN?
No. Your identification numbers stay the same. You will receive a “Certificate of Change of Name,” but your original CRN and BRN will continue to identify your business entity.
